These Terms and Conditions ("Terms") govern your access to and use of the Hivance salon management platform, including the website at hivance.app, the progressive web application at hub.hivance.app, and all related services (collectively, the "Service").
Hivance is a proprietary brand owned and operated by Shantanu Awate, an individual operating under the laws of India, with a principal place of business at Otur, Pune, Maharashtra, 412409, India ("Operator", "we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Definitions
- "User" means any individual or business entity that registers for and/or uses the Service, including salon owners, managers, and staff members.
- "Subscription" means the paid plan chosen by the User to access the Service features.
- "Content" means all data, text, information, and materials uploaded or entered by the User into the Service.
- "Platform" means the Hivance salon management progressive web application accessible at hub.hivance.app via supported browsers.
2. Eligibility
You must be at least 18 years of age and capable of entering into a legally binding agreement under the Indian Contract Act, 1872 to use this Service. By using the Service, you represent and warrant that you meet these requirements.
3. Account Registration
- You must provide accurate, complete, and current information during registration.
- You are responsible for maintaining the confidentiality of your account credentials, including OTP-based login sessions.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription & Payments
- Access to the Service requires an active paid subscription after the free trial period.
- Subscription fees are as displayed on our Pricing page and are billed in advance for the chosen billing period.
- All payments are processed securely via authorized third-party payment aggregators. We do not store your card or bank account details on our servers.
- Prices are exclusive of GST (18%), which will be charged additionally as per applicable law.
- We reserve the right to modify pricing with at least 30 days' prior written notice to existing subscribers.
- Failed payment attempts may result in temporary suspension of Service access until payment is resolved.
5. Free Trial
New users are eligible for a 21-day free trial with full feature access. No payment information is required during the trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service. Unused trial days are non-transferable and non-refundable.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Upload or transmit viruses, malware, or any malicious code.
- Attempt to gain unauthorized access to any part of the Service, other user accounts, or our systems.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service to send unsolicited communications (spam) via the WhatsApp messaging feature.
- Resell, sublicense, or redistribute access to the Service without our written consent.
- Use automated scripts, bots, or scrapers to access the Service.
- Misrepresent your identity or affiliation with any person or entity.
7. Intellectual Property
The Service, including its design, features, source code, graphics, logos, and documentation, is the exclusive property of Shantanu Awate (operating as Hivance) and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws of India. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your business operations during your active subscription.
8. User Content & Data
- You retain ownership of all Content you upload to the Service.
- You grant us a limited license to store, process, and display your Content solely for the purpose of providing the Service to you.
- You are solely responsible for the accuracy, legality, and appropriateness of your Content.
- We do not claim ownership over your business data, customer records, or operational information.
- Upon account termination, you may request an export of your data within 30 days.
9. Data Security & Privacy
We implement industry-standard security measures to protect your data, including encryption at rest and in transit. Our data handling practices are detailed in our Privacy Policy, which forms an integral part of these Terms. By using the Service, you consent to the collection and processing of data as described therein.
10. Service Availability
- We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service.
- Scheduled maintenance will be communicated at least 24 hours in advance where possible.
- We are not liable for any loss or damage arising from Service unavailability due to circumstances beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.
11. Third-Party Services
The Service integrates with third-party services including but not limited to authorized payment aggregators (for payment processing), WhatsApp Business API (for messaging), and Google AI services. Your use of such integrations is subject to the respective third-party terms and policies. We are not responsible for the performance, availability, or actions of third-party service providers.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied.
- Our total liability for any claims arising out of or related to the Service shall not exceed the total subscription fees paid by you in the 3 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- We are not liable for any loss arising from your failure to maintain adequate backups of your data.
13. Indemnification
You agree to indemnify and hold harmless Shantanu Awate (operating as Hivance), and any agents or contractors, from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
14. Termination
- You may cancel your subscription at any time from your account settings.
- We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms.
- Upon termination, your right to use the Service ceases immediately.
- Provisions that by their nature should survive termination shall survive, including intellectual property, indemnification, limitation of liability, and dispute resolution clauses.

15. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 15 days before they take effect. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree with the modified Terms, you must discontinue use of the Service.
16. Governing Law & Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of India.
- Any disputes arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation.
- If negotiation fails, disputes shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996, conducted in Pune, Maharashtra, India.
- The courts of Pune, Maharashtra shall have exclusive jurisdiction over any matters not subject to arbitration.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, Cancellation & Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and Shantanu Awate (operating as Hivance) regarding the use of the Service.
